LodgeX Property Management System (LodgeX PMS)

IMPORTANT DISCLAIMER
This is a template Terms of Service document. Before making this document publicly available or binding on users, you must have it reviewed and approved by a qualified attorney licensed to practice in your jurisdiction. This document is provided for informational purposes and does not constitute legal advice.
1. Acceptance of Terms
By accessing, registering for, or using the LodgeX Property Management System ("LodgeX PMS," "Service," "Platform," or "we," "us," "our") owned and operated by Justin Barker and/or associated entities, you ("User," "you," "your") agree to be bound by these Terms of Service ("Terms"). These Terms apply to all users of the Platform, including landlords, property managers, property owners, tenants, maintenance staff, and other parties with access to LodgeX PMS.
If you do not agree with any part of these Terms, you may not use the Service. Your continued use of LodgeX PMS constitutes your acceptance of these Terms.
If you are using LodgeX PMS on behalf of an organization, company, or entity, you represent and warrant that you have the authority to bind such organization to these Terms.
2. Description of Service
2.1 What LodgeX PMS Is
LodgeX PMS is a cloud-based Software-as-a-Service (SaaS) platform designed to assist property owners, managers, and landlords in managing residential properties, units, tenant relationships, financial records, and operational workflows.
The Platform includes features such as:
- Property and unit management and organization
- Tenant information management and tenant portals
- Owner and manager portals for property oversight
- Rent collection and payment processing
- Maintenance request submission and work order management
- Lease document management
- Financial ledgers, reports, and accounting tools
- Staff and access management
2.2 What LodgeX PMS Is Not

LodgeX PMS is a software tool only. LodgeX PMS is not a law firm and does not provide legal advice; is not a financial advisor or accountant; is not a property management company; does not ensure compliance with federal, state, or local landlord-tenant laws; does not provide guarantees regarding rent collection, tenant screening, or property valuation; and does not replace professional services such as legal counsel, accounting, or insurance.
2.3 User Responsibility
You acknowledge and agree that you are solely responsible for ensuring your use of LodgeX PMS complies with all applicable laws, obtaining appropriate professional advice, managing your properties in accordance with landlord-tenant laws, maintaining property insurance, handling all tenant disputes through appropriate legal channels, and protecting sensitive personal information.
3. Account Registration and Responsibilities
3.1 Creating an Account
To use LodgeX PMS, you must create an account through the Platform. You agree to provide accurate, complete, and current information during registration, maintain the confidentiality of your login credentials, use only your own credentials, not share your account with unauthorized parties, and notify us immediately of any unauthorized access.
3.2 Account Types
LodgeX PMS accounts may be created for different user types including Primary Account Holder, Admin Users, Managers, Tenants, Maintenance Staff, and other roles as determined by the account holder. The account holder is responsible for all activity under their account and for managing user permissions.
3.3 Account Eligibility
You represent and warrant that you are at least 18 years old and capable of entering into legally binding contracts, you have the legal right to enter into property management agreements, and you will not use LodgeX PMS to violate any applicable laws.
3.4 Account Termination by User
You may request termination of your account at any time by contacting support@lodgexpms.com. Upon termination, your access will be revoked, data will be retained per our retention policy, and you remain responsible for any unpaid fees.
4. Subscription Plans and Billing
4.1 Available Subscription Tiers
Free Tier: $0/month, up to 5 units, full access to core features. No payment method required.
Pro Tier: $29/month, up to 25 units, all Free Tier features plus priority support, advanced reporting, and staff management for up to 10 users.
Business Tier: $69/month, up to 100 units, all Pro Tier features plus dedicated support, custom reporting, API access, and staff management for up to 50 users.
4.2 Unit Definition
A "unit" is defined as a single residential property or individual unit within a multi-unit building that you manage through LodgeX PMS. Shared common areas are not counted as units.
4.3 Upgrade and Downgrade
You may upgrade or downgrade at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of your next billing cycle.
4.4 Billing Cycle and Automatic Renewal
Subscription fees are billed automatically on a monthly basis and will automatically renew unless you cancel.
4.5 Cancellation and Refunds
Subscription fees are non-refundable. You may cancel at any time through the Billing section. Upon cancellation, your access to paid features will end at the end of your current billing cycle, and your account will be downgraded to the Free Tier automatically.
5. Payment Terms
5.1 Subscription Fees
You authorize LodgeX PMS to charge your payment method on file for the monthly subscription fee. Fees are billed in advance.
5.2 Transaction Fees
Rent collection payments are processed through third-party payment processors. A transaction processing fee of typically 2.2% + $0.30 per transaction applies. The property owner/manager is responsible for transaction fees. LodgeX PMS does not retain payment processing fees.
5.3 Overdue Payments
If payment is not received, your account may be suspended. We may retry payment up to 3 times over 10 days. Failure to resolve may result in account termination.
5.4 Price Changes
We reserve the right to change pricing with 30 days' written notice. You may cancel before new pricing takes effect.
5.5 Taxes
You are responsible for paying any applicable taxes associated with your subscription.
6. Acceptable Use Policy
6.1 Prohibited Conduct
You agree not to use LodgeX PMS for any unlawful, deceptive, or harmful purpose. This includes:
- Violating any federal, state, or local law
- Violating landlord-tenant laws, fair housing laws, or housing discrimination laws
- Engaging in illegal discrimination
- Attempting to gain unauthorized access to the Platform
- Reverse engineering or decompiling the Platform
- Introducing malicious code
- Harassing, threatening, or intimidating any person
- Collecting or sharing personal data beyond legitimate property management purposes
- Creating multiple accounts to evade limitations
- Impersonating other users
6.2 Monitoring and Enforcement
LodgeX PMS reserves the right to monitor account activity, investigate suspected violations, suspend or terminate accounts, and report suspected illegal activity to law enforcement.
7. User Content and Data Ownership
7.1 User Data Ownership
You retain full ownership of all data, documents, and information that you input into LodgeX PMS.
7.2 License to LodgeX PMS
By storing content on the Platform, you grant LodgeX PMS a limited, non-exclusive license to store, maintain, access, display, and back up your data solely for the purpose of providing the Service. This license does not permit us to sell, share, or use your data for marketing.
7.3 Responsibility for User Data
You are solely responsible for ensuring your data is accurate, backing up your data, ensuring your data does not violate third-party rights, and complying with all legal obligations regarding stored data.
8. Intellectual Property
LodgeX PMS and all of its components are the exclusive intellectual property of Justin Barker and/or associated entities. Subject to your compliance with these Terms, LodgeX PMS grants you a limited, non-exclusive, non-transferable license to access and use the Platform for your personal property management needs.
If you provide feedback or suggestions, you grant us a royalty-free, perpetual license to use such feedback to improve the Platform.
9. Third-Party Services and Integrations
LodgeX PMS uses third-party services including payment processors, authentication services (Clerk), and may integrate with other third-party APIs. Payment processor fees are separate from LodgeX PMS fees. Third-party service terms and privacy policies apply to your use of those services. LodgeX PMS is not responsible for third-party service availability, accuracy, or security.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LODGEX PMS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Any direct damages exceeding the amount you paid in the 12 months preceding the claim
- Actions taken by tenants, third-party service providers, or other parties
- Data loss or corruption
- Service disruptions or downtime
- Property-related losses including loss of rent or eviction outcomes
The Platform is provided on an "as is" and "as available" basis.
11. Disclaimer of Warranties
LODGEX PMS MAKES NO WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Your use of LodgeX PMS is entirely at your own risk. LodgeX PMS is software only and does not provide legal, financial, tax, or property management advice.
12. Indemnification
You agree to indemnify, defend, and hold harmless LodgeX PMS, Justin Barker, and associated entities from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Platform, violation of these Terms, violation of any law, infringement of third-party rights, misuse of tenant information, mismanagement of properties, or disputes with tenants or other parties.
13. Termination
You may terminate your account at any time. LodgeX PMS may terminate or suspend your account immediately if you violate these Terms, engage in illegal activity, fail to pay, or as required by law. Upon termination, your access is revoked, data is retained per our retention policy, and surviving sections remain in effect.
14. Data Portability and Retention
You may export your data at any time in CSV or JSON format by contacting support@lodgexpms.com. Upon termination, data is retained for 90 days, then permanently deleted. You may request deletion at any time. Data may be retained as required by law.
15. Dispute Resolution
15.1 Informal Resolution
Please first attempt to resolve disputes informally by contacting support@lodgexpms.com. We will respond within 10 business days.
15.2 Binding Arbitration
If informal resolution fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA). The arbitrator's decision is final and binding.
15.3 No Class Actions
All disputes must be pursued on an individual basis. You agree not to pursue any claim as a class action.
15.4 Statute of Limitations
Any claim must be brought within one (1) year of the event giving rise to the claim.
16. Governing Law
These Terms shall be governed by the laws of the United States (federal law and applicable state law), without regard to conflict of law principles.
17. Severability
If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary. The remaining provisions remain in full force.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and LodgeX PMS. These Terms supersede all prior agreements.
19. Amendments
We may amend these Terms at any time with 30 days' notice for material changes. Your continued use constitutes acceptance.

21. Legal Warnings and Final Disclaimers
YOU ARE SOLELY RESPONSIBLE FOR COMPLYING WITH ALL FEDERAL, STATE, AND LOCAL LANDLORD-TENANT LAWS, FAIR HOUSING LAWS, AND HOUSING REGULATIONS IN YOUR JURISDICTION.
While LodgeX PMS implements industry-standard security measures, no online service is 100% secure. The financial reports provided are for informational purposes only and may not be suitable for tax filing or financial audits. LodgeX PMS does not warrant that your use will comply with applicable law.
22. Acknowledgment and Agreement
By using LodgeX PMS, you acknowledge that you have read and understand these Terms, that LodgeX PMS is a software tool only, that you are responsible for legal compliance, and that you are using LodgeX PMS at your own risk.
